Frequently Asked Questions (FAQ)

The most common options are a limited liability company (LLC, with one or more members), a joint stock company, a branch, and a representative office. An LLC or joint stock company is a separate legal entity that can conduct business and earn revenue. A branch and a representative office are extensions of a foreign company, not separate entities, and their scope differs significantly (see below).

An LLC is a standalone legal entity, limits the owners’ liability to their contributed capital, and can carry out the business lines it registers. A branch can conduct business activities on behalf of its foreign parent, which remains legally responsible for its obligations. A representative office generally cannot generate revenue; it is limited to activities such as liaison, market research and promoting the parent company’s business. The right choice depends on your business model, liability exposure and tax position.

In most cases, yes. A foreign investor setting up a new company in Vietnam typically needs to obtain an Investment Registration Certificate (IRC) and then an Enterprise Registration Certificate (ERC). Some structures and investment forms are treated differently, so the correct sequence should be confirmed against your specific ownership structure and business lines.

Yes. Vietnamese law distinguishes between sectors that are prohibited, conditional business lines, and sectors subject to market-access conditions for foreign investors, such as limits on foreign ownership, requirements on form of investment, or qualifications of key personnel. These conditions can affect both the choice of structure and the timeline, so they should be reviewed before capital is committed.

For most business lines there is no general statutory minimum. However, some regulated sectors do require minimum capital, and the amount must also be realistic for your operations, licensing conditions and, where relevant, visa and work-permit planning. Under current rules, members must contribute the registered capital within a set period after the enterprise registration certificate is issued; we advise on how to set capital in line with these requirements.

Not necessarily. Many steps can be carried out remotely through a properly authorized representative, using documents that are notarized and legalized or apostilled where required. Some steps, such as opening certain bank accounts, may require your presence or additional documents, and we advise on the most practical approach.

After establishment, a company must comply with obligations such as opening and maintaining a bank account for the registered capital, tax registration and filings, accounting and invoicing requirements, employment and social insurance obligations, and any sector-specific licensing. Early planning in these areas helps avoid penalties and reduces the cost of correcting issues later.

Yes. Company registration procedures can be carried out directly with the competent state authorities, at the statutory fees. Our fees are for legal advice and representation, including structuring your investment, assessing conditions and risks, and drafting legal documents, not for government services.

The timeline depends on the form of investment, the business lines, whether an investment registration step is required, and how quickly documents from overseas can be prepared. Straightforward cases take less time than those involving conditional sectors or complex ownership. We provide a realistic timeline after reviewing your structure.

Yes. You can request an initial consultation to discuss your plans, and we will outline the structure and legal issues that apply to your case before you decide how to proceed.
